1. Acceptance of these terms
This website is operated by Guangzhou Laiyue Biological Group Co., Ltd ("we", "us", "our"). By accessing or using https://oemcosmeticsodm.com (the "Site"), or by relying on any information published on it, you agree to these terms. If you do not agree, please do not use the Site.
2. About this website
The Site is a business-to-business information and marketing website for our cosmetics contract manufacturing services (OEM / ODM / private label). It is aimed at brand owners, importers, distributors and other businesses. It is not a consumer webshop, it does not sell products to consumers, and prices, minimum order quantities and lead times shown anywhere on the Site are indicative only.
3. No offer and no contract
Nothing on the Site constitutes an offer capable of acceptance. Descriptions of services, capabilities, formulas, packaging, certifications, lead times and prices are provided for general information only. A contract comes into existence only when we issue a written quotation, pro-forma invoice or order confirmation that is accepted in writing, and it is governed by the terms stated in that document.
4. No medical or professional advice
The Site's content — including any description of ingredients, formulations, benefits or uses — is provided for general business information only. It is not medical, pharmaceutical, dermatological, legal, regulatory or professional advice, and it must not be relied on as such.
- The products we manufacture are cosmetics, not medicines, and they are not intended to diagnose, treat, cure or prevent any disease. Statements on the Site have not been evaluated or approved by the U.S. Food and Drug Administration or by any equivalent authority.
- Any health, efficacy or "free-from" claim that appears on a finished product is the responsibility of the brand owner that markets that product, and must be substantiated and permitted under the law of the market where it is sold (for example EU Regulation 1223/2009 on cosmetic products, and the EU common criteria on claims; the UK Cosmetics Regulation; FDA rules in the United States; and PIPL/MOH regulations in China).
- Ingredients, allergens and labelling requirements differ between markets. Nothing on the Site is a confirmation that a given formula or label is permitted in your market.
- If you have a health concern, consult a qualified medical professional.
5. Product, formula and packaging information
Formula sketches, textures, shades, packshots, packaging mock-ups, artwork, dielines and finished-product photographs on the Site are illustrative. They may show:
- our own concept or demonstration work prepared to show a capability;
- rendered, composited or placeholder artwork rather than a finished manufactured item;
- products we have manufactured for a client, photographed with the client's permission or reproduced with identifying branding removed;
- photographs of third-party packaging components (bottles, jars, tubes, pumps, cartons) supplied by our packaging partners, which we reproduce to illustrate sourcing options.
Consequently, actual colour, texture, print finish, decoration and packaging may differ from what is shown, and no image on the Site should be treated as a specification or as a promise that a particular pack, design or formula is available to you. Finished goods are supplied only against an agreed specification.
6. Intellectual property notice
6.1 Our intellectual property
The Site and its contents — including its text, layout, structure, original photography, illustrations, logos, graphics, code and the selection and arrangement of content — are owned by or licensed to Guangzhou Laiyue Biological Group Co., Ltd and are protected by copyright, trade-mark, design and unfair-competition laws (including the Berne Convention, European and UK copyright and trade-mark law, U.S. copyright and trade-mark law, and the Copyright Law, Trade Mark Law and Anti-Unfair Competition Law of the People's Republic of China). All rights not expressly granted are reserved.
6.2 Third-party trademarks, brand names and logos
Third-party brand names, trademarks, service marks, trade names, logos, product names and trade dress that appear on the Site belong to their respective owners. They are used only:
- to identify a product, material, component, certification body or market to which we are referring; or
- to describe a genuine business relationship (for example, a certification issuer or a packaging supplier).
Such use is purely descriptive and referential and does not imply, and must not be read as implying, any affiliation with, sponsorship by, endorsement of, or partnership with the owner of that mark. We are not affiliated with, sponsored by or endorsed by any brand shown on the Site, and we claim no rights in their marks. We do not sell, and are not an authorised stockist of, any third-party branded product unless we say so expressly in writing.
6.3 Images, packaging, artwork and designs
Where a photograph, packaging design, artwork, logo or registered design shown on the Site belongs to a third party or to a client, we display it either with that party's permission or as permitted descriptive or fair use, and we do not claim ownership of it. If you own rights in material displayed here and you have not authorised its use, the notice-and-takedown procedure in section 6.6 below applies, and we will act promptly.
6.4 Client-supplied materials
Where a client supplies us with formulations, artwork, logos, packaging designs or other materials, that material remains the client's property. We use it only to perform the project, we do not register or claim rights in it, and we hold it in confidence. If we display any such material on the Site, we do so only with the client's permission or in a form from which identifying branding has been removed.
6.5 No licence
Your use of the Site grants you no right, title, licence or interest in any intellectual property displayed on it — neither ours nor any third party's. You may not copy, reproduce, republish, distribute, scrape, mirror, frame, modify, create derivative works from, or use our content (or any third-party content shown on the Site) for commercial purposes without the prior written permission of the rights holder.
6.6 Reporting an intellectual-property concern (notice and takedown)
We respect the intellectual-property rights of others and we will remove or amend material that infringes a valid right, quickly and without argument once we have verified the position. If you believe that material on the Site infringes your copyright, trademark, design right or other right, please write to adon@oemcosmeticsodm.com with the subject line "IP Notice" and include:
- your name, address, telephone number and email address;
- identification of the right you say is infringed (for example a registration number, or a description of the copyright work), with evidence that you own or are authorised to act on it;
- the exact URL(s) on the Site and, where helpful, a screenshot, showing the material you object to, with enough detail for us to locate it;
- a statement of the basis of your complaint;
- a statement that you have a good-faith belief that the use is not authorised by the rights holder, its agent or the law;
- a statement that the information in your notice is accurate, and that you are the rights holder or are authorised to act on their behalf;
- your physical or electronic signature.
We will acknowledge your notice within 5 business days and, where the complaint appears well founded, will remove or replace the material within a further 5 business days. If you are the party whose content was removed and you believe no infringement has occurred, you may send us a counter-notice at the same address with the same kind of detail, and we will consider it in good faith.
This procedure is intended to comply with the notice-and-takedown framework in section 512 of the U.S. Digital Millennium Copyright Act, Article 14 of the EU Digital Services Act and Regulation (EU) 2022/2065, and with equivalent mechanisms in the UK, France and China.
7. Accuracy and no warranty
The Site is provided on an "as is" and "as available" basis. While we take reasonable care, we give no warranty or representation that the Site will be uninterrupted, error-free or free of harmful components, or that the information on it is complete, current, accurate or fit for any particular purpose. Your use of the Site and any reliance on it is at your own risk. To the fullest extent permitted by law, we exclude all implied terms, conditions and warranties.
8. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, goodwill, anticipated savings, data or opportunity, arising out of or in connection with the Site or these terms — whether in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised of the possibility of such loss.
Our total aggregate liability to you in connection with the Site will not exceed one hundred United States dollars (US$100) or the amount you paid us for the services giving rise to the claim, whichever is greater.
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any mandatory statutory right you hold under the law of your own country. If you are a consumer, nothing here affects your statutory rights — although, as noted in section 2, the Site is a B2B website and is not directed at consumers.
9. Indemnity
You agree to indemnify us and our directors, officers, employees and agents against any claim, loss, liability and expense (including reasonable legal fees) arising from: your breach of these terms; your misuse of the Site; or your infringement of the intellectual-property or other rights of a third party — in particular any materials, artwork, formulations or brand assets that you instruct us to use or reproduce.
10. Certification and market-approval disclaimer
Certifications, accreditations, registrations and test reports referred to on the Site (for example ISO 22716, GMPC, HALAL) apply to the facility, scope and period stated on the certificate itself. They are not a warranty of any particular product.
Approvals and notifications needed to place a cosmetic product on a market — such as EU CPNP notification, a Responsible Person appointment under EU Regulation 1223/2009, UK SCPN notification, ASEAN notification, or FDA facility registration and product listing in the United States — are product- and market-specific. We support our clients with the documentation they need, but unless we have expressly agreed otherwise in writing, obtaining those approvals, and ensuring that the finished product, its claims and its labelling comply with local law, remains the responsibility of the brand owner placing the product on that market. Certificates reproduced on the Site are evidence of past audit results at the stated date and may be superseded.
11. Confidentiality and NDAs
We treat inquiries, concepts, formulas, artwork and commercial terms you send us as confidential. We are happy to sign a mutual non-disclosure agreement before you share sensitive material — just ask. Client references published on the Site (if any) are shown in anonymised form unless the client has agreed in writing to be named.
12. Acceptable use
You must not:
- use the Site for any unlawful purpose, or in breach of these terms;
- scrape, harvest, crawl or systematically extract content or contact details, or use automated means to submit the enquiry form or generate inquiries;
- attempt to gain unauthorised access to the Site, its server or any connected system, or interfere with its operation or security;
- introduce malware, or use the Site to transmit unlawful, misleading, defamatory or infringing material;
- misrepresent your identity or your affiliation with any person or organisation.
We may suspend or block access, and may report unlawful activity to the competent authorities, where these rules are breached.
13. Export control and sanctions
Our products and the information on the Site may be subject to export-control, customs and economic-sanctions laws, including those of the People's Republic of China, the European Union and its member states, the United Kingdom and the United States. You agree not to use the Site, or any product or technical information obtained through it, in breach of those laws, or in connection with a person, entity or destination subject to sanctions.
14. Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with the Site, are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Subject to any mandatory rule of the law of your own country, the courts of Guangzhou, Guangdong Province, China have exclusive jurisdiction — although we may bring proceedings to protect our intellectual property in any competent jurisdiction.
Nothing in this section deprives you of the protection of mandatory provisions of the law of the country in which you reside, or of your right to bring a complaint before a data-protection or consumer authority competent for you.
15. General
- Severability: if any provision of these terms is held invalid or unenforceable, the remaining provisions continue in full force.
- No waiver: our failure to enforce a provision is not a waiver of it.
- Entire agreement: these terms, together with our Privacy Policy, are the whole agreement between us regarding use of the Site; they do not replace the terms of any manufacturing or supply contract, which prevail in case of conflict.
- Changes: we may revise these terms at any time by updating this page. The "Last updated" line at the top shows the current version; continued use of the Site after a change means you accept the revised terms.
